Terms of Service

Please read these Terms of Service carefully before using Techfleet Sync. These Terms govern your use of the platform and constitute a legally binding agreement between you and Techfleet Inc.

1. Acceptance of Terms

By accessing or using the Techfleet Sync platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Techfleet Sync is a B2B inventory management and commerce synchronization platform designed for device resellers. The Service includes inventory tracking, live pricing links, channel synchronization, AI agent protocols (MCP/UCP), and related features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete registration information and keep it up to date. You may not create an account on behalf of another person without their authorization.

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Upload, transmit, or store inventory data for devices that are stolen, blacklisted, or obtained through fraudulent means. • Use the Service to facilitate the sale of counterfeit, tampered, or misrepresented devices. • Attempt to gain unauthorized access to any part of the Service or to other accounts. • Use automated means to access the Service in ways that exceed your plan's rate limits or violate our API terms. • Reverse engineer, decompile, or attempt to extract the source code of the Service. • Resell access to the Service without our written authorization.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Your Data

You retain all ownership rights to the inventory data, IMEI records, pricing configurations, and other content you upload to the Service ("Your Data"). By using the Service, you grant Techfleet Sync a limited license to process Your Data solely for the purpose of providing the Service.

You are solely responsible for the accuracy, legality, and integrity of Your Data. We do not verify IMEI data against stolen device registries on your behalf — that responsibility remains with you.

You can export or delete Your Data at any time. Upon termination, we will delete Your Data within 30 days unless required by law to retain it.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms.

If you fail to pay fees when due, we may suspend your access to the Service after a 7-day grace period. We will notify you before any suspension.

We may change our pricing with 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

All amounts are in USD unless otherwise stated. You are responsible for any applicable taxes.

7. Service Availability and SLA

We target 99.9% uptime for the core platform. Planned maintenance windows will be announced at least 24 hours in advance. Enterprise customers receive SLA guarantees as specified in their service agreement.

We are not liable for downtime caused by factors outside our reasonable control, including third-party service failures, DNS issues, or distributed denial-of-service attacks.

8. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Techfleet Inc. and protected by intellectual property laws. Nothing in these Terms grants you any rights in the Service other than the limited license to use it.

Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHFLEET SYNC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, or that pricing intelligence data will be accurate or complete.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHFLEET SYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Techfleet Inc. and its officers, directors, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved by binding arbitration in Toronto, Ontario, Canada, except that either party may seek injunctive relief in court for intellectual property or confidentiality violations.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
